1. Purpose and scope
This Acceptable Use Policy (the “AUP”) sets out the rules for using the Frqncy Technologies Inc. platform, Picnic Pie (the “Platform”), including any sites operated by Merchants on the Platform. The AUP is binding on all Users, including Merchants and Customers, and is incorporated into the Terms of Use and the Merchant Agreement.
We may update this AUP from time to time. Material changes will be notified on the Platform. Continued use after the effective date constitutes acceptance.
Our payment and infrastructure providers have their own rules. You must also comply with those, and nothing we permit here overrides them.
2. Universal prohibitions
You must not use the Platform to do, or attempt to do, any of the following:
2.1 Illegal activity. Anything unlawful in any jurisdiction where you or your Customers are located.
2.2 Harmful content. Upload, post, transmit, sell, or link to content that is:
- child sexual abuse material or content that sexualises minors — this triggers immediate termination and reporting to authorities;
- sexual content involving non-consent, coercion, or deception;
- content that incites, promotes, or glorifies violence, terrorism, or self-harm;
- hateful content that attacks or dehumanises people on the basis of race, ethnicity, national origin, religion, disability, sex, gender, sexual orientation, gender identity, age, or serious disease;
- content that harasses, stalks, threatens, or bullies any person;
- defamatory, libellous, or fraudulent content;
- malware, spyware, ransomware, or other malicious code;
- non-consensual intimate imagery (“revenge porn”) or deepfake sexual content;
- content that infringes intellectual-property rights (copyright, trade mark, patent, design, or trade secret) or rights of publicity/privacy.
2.3 Fraud and deception. Engage in fraud, scams, deceptive practices, false advertising, bait-and-switch pricing, fake reviews, astroturfing, unauthorised use of another person’s identity, or phishing.
2.4 Regulated financial activity without authorisation. Offer banking, investment, lending, insurance, virtual currency, securities, derivatives, money-transmission, gambling, or similar services unless you hold required licences in each relevant jurisdiction and have our prior written approval.
2.5 Privacy and data violations. Collect or process personal data without a lawful basis; harvest or scrape user data; reverse-engineer identities; or otherwise violate Data Protection Law.
2.6 Sanctions and export control. Transact with persons, entities, or jurisdictions subject to US, UK, EU, UN, AU, or NZ sanctions, or export products in breach of applicable export controls.
3. Prohibited products and services
You must not list, sell, or facilitate the sale of any of the following through the Platform:
3.1 Illegal goods and services. Anything illegal in the seller’s or buyer’s jurisdiction.
3.2 Weapons and explosives. Firearms, firearm parts, ammunition, 3D-printed firearms or files, explosives, fireworks (except where expressly permitted in a restricted-category approval — Section 4), tasers and stun devices where restricted, switchblades and knives where restricted, and related accessories where restricted by local law.
3.3 Controlled substances and drug paraphernalia. Narcotics, controlled substances, synthetic or “designer” drugs, drug precursors, cannabis and cannabis-derived products (including CBD, unless expressly approved under Section 4), kratom, kava where restricted, nitrous oxide for recreational use, and associated paraphernalia.
3.4 Tobacco, vaping, and nicotine products. Tobacco products, e-cigarettes, vaping devices, e-liquids, and nicotine products — except under a restricted-category approval and subject to age-verification and local-law compliance.
3.5 Counterfeit, stolen, and infringing goods. Counterfeit or unauthorised replica goods, stolen goods, goods sold in breach of distribution agreements, items bearing trademarks you are not authorised to use, pirated software or media, circumvention devices, and mod chips.
3.6 Human exploitation. Services or content that exploit human beings (including trafficking, forced labour, sale of organs or human remains), illegal adoption services, and mail-order bride services.
3.7 Wildlife and endangered species. Items made from endangered species (CITES-listed and equivalents), ivory, rhino horn, protected corals, bear bile, and products from threatened species.
3.8 Dangerous chemicals and biological agents. Restricted chemicals, hazardous materials not shipped in compliance with IATA/ADR/IMDG, bioweapons precursors, radiological material, and pathogens of human/animal concern.
3.9 Regulated and restricted pharmaceuticals. Prescription-only medicines sold to Customers without a valid prescription process, unapproved medicines, veterinary medicines outside permitted channels, and false medical-device claims.
3.10 Misleading health and COVID-19 products. Products with unsubstantiated health claims, unapproved COVID-19 tests or treatments, and devices/supplements marketed to cure, prevent, or treat serious illness without authorisation.
3.11 Hate, extremist, and violent content/goods. Items that promote or glorify terrorism, genocide, or hate groups; Nazi memorabilia where restricted by law (e.g. Germany, France, Austria); and violent extremist propaganda.
3.12 Privacy-invasive devices. Covert surveillance equipment, phone and wifi jammers (generally banned in the US, UK, EU, AU, NZ), wiretapping devices, and stalkerware.
3.13 Financial fraud tools. Credit-card readers/skimmers, embossers, fullz/CVV data, instructions for committing fraud, account-generator services, and fake identification.
3.14 Government-only items. Government IDs, passports, police badges and uniforms where restricted, and government-issued items not lawfully resold.
3.15 Multi-level marketing and pyramid schemes.
3.16 Live animals requiring specialist licensing outside approved channels; animal-fighting paraphernalia.
3.17 Items violating third-party IP. Unauthorised event tickets where prohibited, unauthorised ticket resale where restricted, and counterfeit collectibles.
3.18 Adult content and services (see Section 4 — in some categories this is restricted rather than prohibited, subject to our approval, age-verification, and our payment providers’ rules).
3.19 Items banned by our payment or infrastructure providers. Items that would breach the applicable payment-network rules (Visa, Mastercard, Amex), the rules of our processor (e.g. Stripe, Adyen), or our hosting providers.
3.20 Anything we designate as prohibited from time to time.
4. Restricted categories — written approval required
The following categories may be permitted, but only with our prior written approval and subject to additional controls (age-gating, identity checks, licence evidence, geofencing, higher reserves, additional insurance, etc.). Listing any of these without approval is a breach.
- Alcohol (requires age-verification, licence evidence, restricted shipping geographies).
- Tobacco, vaping, nicotine (restrictions vary — e.g. AU has strong restrictions on nicotine vapes).
- Cannabis, CBD, hemp-derived products (highly jurisdictional — frequently prohibited by payment providers).
- Firearms-adjacent products (safes, cleaning kits, certain non-firearm tactical goods).
- Supplements, nutraceuticals, and products making health claims.
- Crowdfunding, charitable fundraising, and donations.
- Gambling, lotteries, sweepstakes, competitions with prizes.
- Financial, legal, medical, and other regulated professional services.
- Travel services (regulated in many jurisdictions — e.g. ATOL in UK).
- Graphic or explicit adult content, products, and services. N.B. This restriction shall not include educational, artistic, or historical imagery or non-explicit LGBTQIA+ content, including but not limited to discussions of or mention of sexual orientation, gender identity, or LGBTQIA+ relationships.
- Weapons accessories and replicas (airsoft, BB guns, blades).
- Auctions and high-value collectibles.
- Digital goods with in-app purchases aimed at minors.
- AI-generated products which do not resemble the final goods as purchased by the User.

5. Technical and operational rules
5.1 No unauthorised automation. Do not use bots, scrapers, or automated agents against the Platform other than via our documented APIs under their published rate limits.
5.2 No abuse of infrastructure. Do not send malware, launch denial-of-service attacks, run crypto-miners, use the Platform as a proxy or VPN, or use it to host unrelated third-party content.
5.3 No security probing without permission. Do not test, scan, or probe vulnerabilities except under our responsible-disclosure program. Email for details to support@frqncy.tech.
5.4 No circumvention. Do not circumvent rate limits, usage caps, fees, geographic restrictions, access controls, age-gates, or content moderation.
5.5 Email and messaging compliance. Sending messages via the Platform must comply with CAN-SPAM (US), CASL (Canada), PECR and UK GDPR (UK), GDPR and ePrivacy (EU), Spam Act 2003 (AU), and the Unsolicited Electronic Messages Act 2007 (NZ). This includes:
- a lawful basis or consent for contact;
- accurate sender identification;
- a functioning unsubscribe mechanism;
- honouring opt-outs promptly;
- suppression of previously unsubscribed addresses.
5.6 Reviews and ratings. No fake, incentivised-but-undisclosed, or manipulated reviews. No retaliating against Customers who leave honest reviews.
5.7 Advertising and pricing. Prices, discounts, countdowns, and stock indicators must be truthful and not misleading. Drip-pricing, fake urgency, and dishonest “was/now” pricing are prohibited (these are specifically enforced in the UK under the Digital Markets, Competition and Consumers Act 2024, in the EU under the UCPD, in AU under the Australian Consumer Law, and in the US under FTC rules).
5.8 Age-restricted content. If your products are restricted to adults in any jurisdiction you serve, you must implement reasonable age-verification.
6. Minors
You must not intentionally market to, or collect personal information from, children under the age at which parental consent is required in their jurisdiction (typically under 13 in the US under COPPA; under 16 for data processing consent in much of the EU; see local law). Products intended for use by children must comply with applicable child-safety regulations (e.g. CPSC in the US, the GPSR in the EU, the Toys Regulation, Product Safety Australia).
7. Reporting and takedowns
7.1 Reporting. To report content or conduct that violates this AUP, email support@frqncy.tech.
7.2 IP takedowns. To submit a copyright or trade-mark takedown notice, please email us directly at support@frqncy.tech.
7.3 Trusted flaggers. Under the EU Digital Services Act, we treat reports from designated “trusted flaggers” with priority.
8. Enforcement
8.1 Actions we may take. If we reasonably determine a breach has occurred or is reasonably suspected, we may:
- remove or restrict access to Content or listings;
- disable features for an account;
- suspend or terminate the account, Merchant Site, or Shared Account;
- require additional verification;
- hold funds or apply a Reserve pending investigation;
- report to law enforcement, regulators, IP owners, or industry bodies; and
- cooperate with court orders and lawful requests.
8.2 Proportionality. We aim to act proportionately where the facts permit, including giving notice and an opportunity to cure for non-urgent, lower-severity breaches. We may act without prior notice for serious breaches (e.g. CSAM, imminent harm, fraud, court order).
8.3 Appeals. Affected Users may appeal actions by emailing support@frqncy.tech. EU Users have rights under the Digital Services Act to reasoned decisions and out-of-court dispute settlement. We will publish transparency information as required.
9. No waiver
Failure by us to enforce this AUP in any particular case is not a waiver of our right to enforce it in other cases.
10. Changes
We may update this AUP to reflect legal, regulatory, security, or operational changes. Material changes will be notified in advance where practicable.
